Social Media Contractor Agreement

This Social Media Contractor Agreement is effective on May 1, 2024 and between Karly Underwood Photography LLC. located at 595 Heathertree Lane San Jose, CA 95129, and Laura Pierson referred to as “contractor".

Scope of Work:

  1. Karly Underwood Photography hereby engages the contractor to provide social media management services for Karly Underwood Photography's photography business, including but not limited to:

    • Creating and curating content for various social media platforms (e.g., Instagram, Facebook, Pintrest).

    • Developing and implementing social media marketing strategies to increase brand awareness and engagement.

    • Monitoring and responding to comments, messages, and inquiries on social media platforms.

    • Analyzing social media metrics and providing regular reports to Karly Underwood Photography.

    • Collaborating with Karly Underwood Photography to develop promotional campaigns and initiatives.

Term:

  1. This Agreement shall commence on May 1, 2024 and shall continue on a month-to-month basis unless terminated earlier by either party in accordance with the terms herein.

Payment:

  1. In consideration for the services provided by the Contractor, Karly Underwood Photography shall pay the Contractor a fee of $200 per month for the duration of this agreement; this is subject to change based on need and budget.

Confidentiality:

  1. Contractor acknowledges that by engaging in an Independent Contractor relationship with Karly Underwood Photography the contractor will potentially obtain access to the Karly Underwood Photography’s clients, client lists, business plan, business model, and other sources of confidential information. The Contractor agrees and acknowledges that such confidential information is important to the business of Karly Underwood Photography and will not misappropriate any knowledge gained during the term of engagement for the Contractor’s own commercial or other purposes. 

Intellectual Property:

  1. Any content created or developed by the Contractor in the course of performing the services under this agreement shall be owned by Karly Underwood Photography. The Contractor agrees to assign all rights, title, and interest in such content to Karly Underwood Photography.

  2. All actions and projects overseen by the Contractor is eligible to be referenced on future resumes. Karly Underwood Photography agrees to serve as a reference for these projects.

 Relationship:

  1. Nothing herein shall be deemed to constitute a partnership or joint venture between the contractor and Karly Underwood Photography. This agreement does not commit Karly Underwood Photography to the traditional role of employer. In entering into this Contract, and in providing services pursuant hereto, the Contractor has and shall have the status of an Independent Contractor and nothing herein contained shall contemplate or constitute an agent or employee relationship and neither Karly Underwood Photography nor the Contractor shall have any authority to bind the other in any way. Karly Underwood Photography is not responsible for the payment of withholding taxes, unemployment insurance, worker's compensation insurance, social security, pensions, retirement fees, licenses, or other fees. Such costs are the responsibility of the Contractor. 

Termination:

  1. Either party may terminate; In the event of termination, the Contractor shall be entitled to receive payment for services rendered up to the date of termination.

Governing Law:

  1. This Agreement shall be governed by and construed in accordance with the laws of California. Any disputes arising under or related to this Agreement shall be resolved through arbitration in San Jose in accordance with the rules of the American Arbitration Association.

  2. If legal action is necessary to enforce the terms of this contract the prevailing party shall be entitled to reasonable attorney fees in additional to any other remedies to which that party might be legally entitled.

Entire Agreement:

  1. This Agreement constitutes the entire understanding between the parties with respect to the subject matter herein and supersedes all prior agreements, negotiations, and understandings, whether oral or written.
